Terms of Service

These Terms govern your access to and use of Armature, our continuous testing service for AI agents on MCP and CLI. Please read them carefully.

01The agreement

These Terms of Service (the “Terms”) form a binding agreement between Armature, Inc., a Delaware corporation (“Armature,” “we,” or “us”), and the entity or person agreeing to them (“Customer” or “you”). By creating an account, accessing the service, or clicking “I agree,” you accept these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.

If you and Armature have signed a separate written master agreement that covers the service, that agreement controls to the extent of any conflict.

02The service

Armature provides a hosted platform for continuously testing AI agents that operate over the Model Context Protocol (MCP) and command-line interfaces. The service includes tool discovery, workflow generation, scheduled execution across models and harnesses, run tracing, assertion and judge-based evaluation, and alerting (the “Service”).

The Service is delivered as a cloud-hosted application accessed via the Armature dashboard, our APIs, and the agents you connect to it.

03Accounts & eligibility

To use the Service you must register an account, provide accurate information, and keep your credentials confidential. You are responsible for activity under your account.

You must be at least 18 years old and legally able to enter into contracts. The Service is intended for business and professional use.

04Acceptable use

You agree not to:

  • Use the Service to violate any law or third-party right.
  • Connect MCP servers, CLIs, or credentials you are not authorized to test.
  • Reverse-engineer, decompile, or attempt to derive the source code of the Service, except to the extent applicable law expressly permits.
  • Probe, scan, or interfere with the integrity, security, or performance of the Service.
  • Use the Service to develop a product that competes directly with Armature.
  • Send malware, spam, or content that is unlawful, infringing, or harassing.
  • Attempt to manipulate or game LLM-as-a-judge evaluations to misrepresent agent quality to third parties.
  • Resell, lease, or sublicense access to the Service without our written permission.

We may suspend or terminate access for material breach of this section, with or without notice depending on severity.

05Customer data

Customer Data” means the workflows, prompts, run traces, assertions, judge rubrics, configuration, and other content you submit to or generate through the Service.

As between the parties, you own all Customer Data. You grant Armature a limited, worldwide, non-exclusive license to host, copy, transmit, display, and process Customer Data solely as needed to provide and improve the Service for you, prevent abuse, and comply with law.

We do not use Customer Data to train our own foundation models or those of any third party. We do not sell Customer Data.

You are responsible for the legality of the Customer Data you submit and for getting any consents or licenses needed to test against systems you connect.

06Fees, billing & refunds

Pricing for the Service is published on our pricing page and in any order form you sign. Fees are exclusive of taxes; you are responsible for any sales, use, VAT, or similar taxes other than those based on Armature’s net income.

Unless otherwise stated, fees are billed in advance and are non-refundable except as set out in this section.

14-day refund window

If you are not satisfied with the Service, you may request a full refund of your first paid invoice within 14 days of the date that invoice was issued. Email founders@armature.tech with your account and the reason for the request. Refunds outside this window are at our discretion.

Late payment & suspension

If an invoice is past due more than 15 days, we may suspend the Service after written notice. Outstanding balances accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law.

07Confidentiality

Each party may disclose confidential information to the other under these Terms. The receiving party will: (a) use confidential information only to perform under these Terms, (b) protect it with at least reasonable care, and (c) not disclose it except to employees, advisors, or contractors bound by confidentiality obligations at least as protective as these.

Confidential information does not include information that is public through no fault of the receiver, was known before disclosure, is independently developed, or is rightfully received from a third party. Disclosure required by law is permitted with prompt notice where allowed.

08Intellectual property

Armature retains all rights, title, and interest in and to the Service, including the dashboard, APIs, judge models we develop, and all related intellectual property. No rights are granted to you except as expressly stated in these Terms.

If you provide feedback or suggestions, you grant Armature a perpetual, irrevocable, royalty-free license to use them without restriction.

09Third-party services

The Service depends on third-party providers including model APIs (Anthropic, OpenAI, Google), payment processing (Stripe), and infrastructure (AWS, Vercel). When you use the Service, you also accept the relevant terms of those providers as applied to the Service. We are not responsible for the availability, performance, or content of any third-party service you connect, including the MCP servers, CLIs, and notification destinations you configure.

10Disclaimers

Important

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” ARMATURE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

The Service uses probabilistic AI models. We do not warrant that judge verdicts, assertions, or success metrics will be free of error, or that the Service will detect every defect in your agent.

11Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

EACH PARTY’S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS IS LIMITED TO THE FEES YOU PAID TO ARMATURE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY. THESE LIMITS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND DO NOT LIMIT EITHER PARTY’S LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT.

12Indemnification

You will defend, indemnify, and hold harmless Armature from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service in violation of these Terms, or your breach of any law or third-party right.

Armature will defend you against third-party claims that the Service, as provided and used in accordance with these Terms, infringes that party’s intellectual property rights, and will pay damages finally awarded, provided you give prompt notice, reasonable cooperation, and sole control of the defense and any settlement.

13Term & termination

These Terms remain in effect while you use the Service. Either party may terminate for material breach if the breach is not cured within 30 days of written notice. We may suspend access immediately for security threats, non-payment past 15 days, or violations of Acceptable use.

On termination, your right to use the Service ends and we may delete Customer Data after 90 days. Sections that by their nature should survive termination (including confidentiality, intellectual property, disclaimers, limitations of liability, indemnification, and governing law) survive.

14Changes to the service

We continuously improve the Service. We may add, modify, or remove features. We will not materially decrease the core functionality of a paid tier during a paid term. We may update these Terms; if changes are material, we will give notice (e.g., by email or in-app) at least 30 days before they take effect for paid customers. Continued use after the effective date constitutes acceptance.

15Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising from these Terms or the Service, and each party waives any objection based on inconvenient forum.

Each party waives any right to a jury trial. To the extent permitted by law, neither party may bring claims as a class, collective, or representative action.

16General

  • Entire agreement. These Terms, together with any order form and our Privacy Policy, are the entire agreement between the parties on this subject.
  • Assignment. You may not assign these Terms without our consent, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets. We may assign freely.
  • Force majeure. Neither party is liable for delays caused by events beyond reasonable control.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • No waiver. Failure to enforce a provision is not a waiver.
  • Notices. Notices to Armature must be sent to the address below; notices to you may be sent to your account email.
  • Independent contractors. The parties are independent contractors; nothing creates a partnership, agency, or joint venture.
